Refund & Cancellation Policy

It is published for transparency; the binding version takes effect when finalized with counsel. Where it conflicts with a signed order form or the executed Terms of Service, that document controls.

This Refund & Cancellation Policy (the “Policy”) explains how paid Recovea subscriptions are billed, how they renew, how to cancel, and what is and is not refundable. It is part of, and incorporated into, the Recovea Terms of Service; the Data Processing Addendum governs personal data and controls over this Policy for that subject matter. Where this Policy conflicts with a separately signed order form or master agreement, that signed document controls.

The Service is offered to businesses only, not for personal, family, or household use; you buy on behalf of an organization.

The short version

You pay monthly, in advance, through Stripe. Your subscription renews automatically each month until you cancel. You can cancel yourself at any time — cancellation takes effect at the end of the month you have already paid for, and you keep access until then. Fees already paid are not refundable except where the law requires it or where this Policy expressly says otherwise (see Refunds, below). We do not refund a partial month. The free Ledger/scan tier is never charged, so there is nothing to refund there.

1. What you pay

Each paid tier is a flat monthly platform fee, billed in advance via Stripe. Current tiers and prices are on the pricing page. At v1 the platform fee is the entire charge: there is no usage-based fee, no per-token fee, and no savings share or gain share billed by Recovea. You pay your model providers (OpenAI, Anthropic, and others) directly, on your own provider API keys; Recovea does not resell provider tokens and adds no markup to provider prices.

The subscription is a platform fee, not a savings promise. It is payable regardless of how much you save. Savings are never guaranteed. Any savings figure shown to you (in a scan, in observe-only estimates, or in the dashboard) is a modeled or estimated figure, not a billed amount and not a promise; your actual result, if any, comes from your own traffic as recorded in your ledger. Nothing in this Policy entitles you to a refund based on the savings you did or did not achieve.

Free tier. The free Ledger/scan tier carries no charge, so the refund terms below do not apply to it. Taxes. Quoted prices exclude tax; you are responsible for applicable sales, use, VAT, GST, or similar taxes (other than taxes on Recovea’s income). Currency. Prices are charged in U.S. dollars (USD) unless your checkout indicates otherwise; your card issuer’s foreign-exchange or cross-border fees are outside Recovea’s control and are not refunded.

2. Billing and your card

Card payments are processed by Stripe, Inc., our payment subprocessor. When you subscribe, you authorize Recovea, through Stripe, to charge your payment method for the subscription fee and any taxes, now and on each renewal, until you cancel. Recovea does not store your full payment card number — card data is held by Stripe under Stripe’s terms; Recovea keeps only limited billing metadata (for example, the last four digits, card brand, and a Stripe identifier) needed to run the subscription and support you. Each subscription period is one month, billed in advance. Keep your payment method and billing contact current.

3. Auto-renewal — please read

Your subscription renews automatically. It continues and your card is charged each month at the then-current price for your tier, in advance, until you cancel. A paid subscription does not lapse on its own — it continues until you cancel it or it is terminated under the Terms of Service. Your renewal date is the periodic anniversary of your start date, shown in your account billing settings and on your Stripe receipts, and Recovea (directly or through Stripe) sends a receipt for each charge to your billing email. By subscribing, you acknowledge this auto-renewal disclosure and consent to recurring charges to your payment method until you cancel; this does not waive any non-waivable rights you may have under applicable law.

4. How to cancel

You can cancel a paid subscription yourself at any time from your account’s billing settings in the Recovea dashboard — open the billing portal and manage or cancel your subscription there. No phone call, email, or approval is required to cancel.

Cancellation is effective at the end of your then-current paid billing period. It is not immediate and does not retroactively unwind the current period. When you cancel: you are not charged again (no further renewals occur); your subscription stays active and you keep full access through the end of the period you have already paid for; and at the end of that period the paid subscription ends and your account moves to the free Ledger/scan tier or a cancelled state.

No partial-month proration. If you cancel partway through a billing period, you keep access until the end of that period and are not refunded for the unused portion. Cancelling on day 2 and cancelling on day 28 both result in access through the end of that paid month and no refund of that month’s fee. Cancelling stops future charges and ends paid access; it is not, by itself, a request to delete your account data (export and deletion are covered below and in the DPA). Recovea may suspend or terminate a subscription for material breach, non-payment, or a genuine security or legal risk as described in the Terms of Service; because the gateway is designed to fail open, suspension reverts your traffic to your own provider rather than taking your application down.

5. Refunds

  • Non-refundable by default. Except as required by law or expressly stated here, all subscription fees are non-refundable, including the current period when you cancel and fees already paid for prior periods. This protects fees collected in advance for a service delivered over the period.
  • No proration of a partial month. Recovea does not refund or prorate a partial month on cancellation; access continues to the end of the paid period instead of a cash refund.
  • Refunds required by law. Nothing here limits any non-waivable refund or cancellation right you have under applicable law; where the law mandates one, that law controls over the non-refundable default.
  • Subprocessor-objection pro-rata refund. If Recovea gives advance notice of an intended new or replacement subprocessor and you reasonably object on data-protection grounds under the DPA and the parties cannot resolve it, then as your exclusive remedy you may terminate the affected subscription and Recovea will provide a pro-rata refund of any subscription fees you prepaid for the period after that termination. This honors the DPA’s subprocessor-objection right and is the one circumstance in which Recovea refunds an unused prepaid portion on a customer-initiated exit.
  • Discretionary refunds; billing errors. Recovea may, at its discretion and as a goodwill matter, issue a refund or credit in individual cases (for example, a clear billing error or a duplicate charge); any such refund is case-specific and creates no right to a refund in any other case. If you believe you were charged in error, contact support@recovea.ai within a reasonable time and Recovea will investigate and correct any genuine error.
  • No money-back-savings guarantee. There is no refund tied to savings outcomes. Recovea does not offer a money-back-savings guarantee and does not refund the subscription fee on the basis that you saved less than you expected, or nothing at all.
  • No instant-refund promise. Where a refund is due, Recovea processes it through Stripe to your original payment method; the time for funds to appear depends on Stripe and your card issuer and is outside Recovea’s control.
  • Chargebacks. If you dispute a charge with your card issuer rather than contacting Recovea first, Recovea may suspend the affected subscription pending resolution and may contest the dispute with evidence of this Policy, your consent to recurring charges, and the access provided. Please contact support@recovea.ai first so we can resolve billing questions directly.

6. At cancellation — exit, export, and deletion

Recovea is an inline gateway you point your application at by changing your base URL, so your exit is a one-line, reversible configuration change: revert your base URL to your model provider and your traffic flows directly to your provider on your own keys, with no Recovea layer in the path. The gateway is designed to fail open to that baseline passthrough, so winding down a subscription does not require a risky migration. Paid access continues through the end of the period you have already paid for; cancellation simply stops the next renewal.

After your paid subscription ends, Recovea makes your exportable account data (usage metadata and ledger history) available for export for a window of 30 days so you can retrieve it before deletion. After that window, Recovea deletes Customer personal data on the timeline and in the manner set out in the DPA, with one honest limit: Recovea maintains a hash-chained, append-only, content-free metering ledger that records usage metadata only (model, token counts, cost, timestamps) and is immutable by design — it cannot be selectively edited or rewritten without breaking the chain that makes it trustworthy. So: what is deleted is your account personal data (such as your email) and any request/response bodies you specifically opted in to capturing (bodies are not captured by default); what persists is the content-free entries in the append-only ledger and any equivalent immutable audit records, retained as the integrity record of metering and where law requires retention. This carve-out is stated honestly so “deletion” is not over-promised. The Service operates from AWS us-east-1 (N. Virginia), United States, and export and deletion occur within that environment.

7. Failed payments and tier caps

If a renewal charge fails (for example, an expired or declined card), Stripe may retry per its standard dunning schedule, and Recovea will notify your billing contact and ask you to update your payment method. If payment remains unresolved after the retry/grace window, Recovea may suspend or downgrade the paid subscription; because the gateway is designed to fail open, a payment-related suspension reverts your traffic to your own provider rather than taking your application down. No refund is owed for a period not paid for.

Each paid tier is associated with a level of optimized spend routed through the Service. If your usage exceeds your tier’s cap, Recovea will notify you and move you to the appropriate higher tier for the next billing period; Recovea will not hard-stop your traffic mid-month solely for exceeding a tier cap. A tier move changes the price you are charged going forward and is not a refund event. If you change tiers, the change and any price difference apply as indicated at checkout: downgrades take effect at the next renewal and do not generate a refund of the current period; upgrades may take effect immediately, with any difference handled at the next renewal or via a prorated upgrade charge (a forward charge, not a contradiction of the no-refund-on-cancellation rule).

8. Changes to pricing and this Policy

Recovea may change subscription prices; a price change applies to your subscription only at your next renewal after notice, never retroactively to a period you already paid for. If you do not accept a new price, you may cancel before the change takes effect. Recovea may also update this Policy; material changes will be communicated as described in the Terms of Service and take effect prospectively, and your continued use after the effective date constitutes acceptance, to the extent permitted by law.
